Terms of service
Last updated 13 September 2026. This is a working draft written to be readable; it will be reviewed by counsel before general availability. If anything here is unclear, ask us and we will fix the wording rather than explain it away.
1. The agreement
These terms cover your use of OnHandIMS, a hosted inventory and order management service. By creating an account you accept them on behalf of the company you named at signup.
2. Your account
You are responsible for what happens under your logins, including logins you issue to your staff and portal logins you issue to your customers. Tell us promptly if you believe one has been compromised. We will never ask you for a password.
3. Trials and billing
Trials run 14 days from signup and require no payment method. When a trial ends without a plan, the account becomes read-only: your data stays intact and exportable, and writing resumes as soon as a plan is chosen. Paid plans bill monthly in advance through Stripe. You can change plan or cancel at any time from Settings; cancellation takes effect at the end of the paid period and is not refunded pro rata.
4. Your data
Your data is yours. We store and process it to provide the service and for no other purpose. We do not sell it, we do not use it to train models, and we do not use one customer's data to build features for another. You can export all of it at any time from Settings, in open formats, without asking us.
5. Our obligations
We will keep the service available as described in our service levels, take nightly backups, keep each customer's data in its own database schema, and tell you promptly if we become aware of a breach affecting you.
6. Acceptable use
See the acceptable use policy. In short: do not use the service to break the law, attack anyone, or store other people's data without the right to.
7. Suspension and termination
We may suspend an account for non-payment after notice, or immediately for a serious breach of the acceptable use policy. On termination, your data remains available for export for 30 days and is then deleted from live systems; backups age out on their own schedule within 90 days.
8. Liability
The service is provided as described and without warranties beyond those we state. Our aggregate liability is limited to the fees you paid in the twelve months before the claim. Neither party is liable for indirect or consequential loss. Nothing here limits liability that cannot lawfully be limited.
9. Changes
We may change these terms. Material changes get 30 days' notice by email to your account administrators, and continued use after that is acceptance. Price changes to an existing plan get 60 days.

Texas law, and the courts of Texas.
